Queen Street X Re dac (Issuer) was incorporated under the laws of Ireland on 9 April 2014 under company number 542328.

The US$100,000,000 Principal-at-Risk Variable Rate Notes due 8 June  2018 are exposed to Australia Earthquake Events and Australia Cyclone Events on a per occurrence basis during the Risk Period.

The Notes will be issued in US currency, in minimum denominations of US$ $250,000 and integral multiples of US$1,000 in excess thereof. For Qualified Investors.

Queen City Re Ltd., the Issuer, is a Bermuda exempted company registered as a special purpose insurer in Bermuda, and incorporated in Bermuda as an exempted company on 31 October, 2013.

The purpose of the Offering of the Notes is to collaterize and fund its obligations under the related reinsurance agreements pursuant to which it may be obligated to make certain payments to the Ceding Insurer upon the occurrence of one or more loss events during the applicable risk periods. The Notes are issued with limited recourse to certain assets of the Issuer and without recourse to the Ceding Insurer.

The maximum aggregate principal amount of the Notes the Company may issue is US$75,000,000.
