Centaur Group Finance Ltd., incorporated on 4 December 2014 in Bermuda (the “Company”), established its segregated account # 3, Centaur Natural Resources Bond#3 on 05 August 2015 (the “Issuer”). The Company is a subsidiary of Centaur Holdings Limited (“Centaur”), incorporated in Bermuda, and which is a global investment holding company with interests, portfolio companies and investments in sectors ranging from
asset management, wealth management, private equity, venture capital, mining and natural resources and agricultural investments. Centaur has offices in the UAE, UK, South Africa, Bermuda and Namibia.

The Company intends to issue a total principal amount of up to $25,000,000 bonds (the“Bonds”) (together the “Programme”) acting in respect of and through the Issuer. The Bonds may be issued in separate series (“Series”) and issues (“Issues”) within each Series. It is intended that each Series will comprise one or more Issues, each with different coupons and maturity dates.

The proceeds of issue of the Bonds shall be used by the Issuer for the purposes of debt financing business projects of Centaur affiliates in relation to the development of various mining projects which include (but shall not be limited to) mining the
commodities coal, copper, gold, silver, ferrochrome, platinum, diamond and bauxite predominantly located in (but not limited to) the United Kingdom, South Africa, Zimbabwe and Namibia and/or the acquisition of capital equipment to expand current
mining operations and/or to finance current sand, gravel and asphalt production for existing projects and/or general corporate expenses, ancillary fees, costs and expenses
related to such projects.

Tranche Thirteen was admitted to the BSX on June 17, 2016 and consists of 10% Bonds, due June 15, 2021 in the nominal amount of USD $402,000 of Bonds coming under Section IIIB of the BSX Listing regulations for Qualified Investors.
