Blue Danube II Ltd. is a company incorporated as an exempted company under the laws of Bermuda on 2 April 2013 under company registration number 47571 with registered office address at Canon’s Court, 22 Victoria Street, Hamilton HM12, Bermuda.The Issuer is not registered as an SPI under the Bermuda Insurance Act 1978, as amended. The Issuer may in the future apply for registration as an SPI under the laws of Bermuda.

Blue Danube II Ltd. (“Company” or “Issuer”) Principal At-Risk Variable Rates Notes Program (“Program”) and $175,000,000 Series 2013-1 Class A Principal At-Risk Variable Rate Notes due May23, 2016 (“Notes Series”) and further series of Principal At-Risk Variable Rate Notes (“Further Notes Series”) (together the “Notes”) issued from time to time pursuant to the Program.

Unless specifically stated in the applicable offering circular supplement, the Notes will be issued in minimum denominations of $250,000 (or the equivalent in other currencies) and integral multiples of $1,000 in excess thereof (or the equivalent of $1,000 in other currencies).
