Aozora Re Ltd is a Bermuda exempted company registered as a Special Purpose Insurer in Bermuda. 

There is no cap on the aggregate principal amount of Notes that the Company may issue under the Program.

The Company has not registered, and will not register, as an “investment company” under the U.S. Investment Company Act of 1940, as amended
