CANADIAN ROYALTY FUNDING CORP. (“the Company”), was incorporated on April 8, 2015, under the Business Issuers Act (Ontario)
(registration number 002461209), and is a wholly-owned subsidiary of Caldwell Financial Ltd. 

The Company has listed by way of Introduction 16,000 subscription receipts (“Subscription Receipts”) at a price of $1,000 per
Subscription Receipt (“Subscription Receipt Offering Price”), subject to a minimum investment of CAD$25,000 per investor. 
Marketing of the issuance outside of Canada will be restricted to Qualified Investors and marketing inside of Canada will be restricted
to Accredited Investors.

Subscription receipts convert to 250 CAD$0.25 Warrants & CAD$1,000 10.0% Convertible Unsecured Senior Redeemable Debentures due 30 June 2035 per subscription receipt.

3 June 2015 6,542 Subscription Receipts were converted to 6,542 Debentures valued at $6,542,000.

26 February 2016 $1,800,000 were redeemed leaving $4,742,000 Debentured outstanding.

17 February 2017 $488,000 were redeemed leaving $4,254,000 Debentured outstanding.

06 July 2018 $554,000 were redeemed leaving $3,700,000 Debentured outstanding.

22 November 2019 $587,000 were converted leaving $3,113,000 Debentures outstanding.

06 May 2020 $258,000 were redeemed leaving $2,855,000 Debentures outstanding.

10 December 2020 $270,000 were redeemed leaving $2,585,000 Debentures outstanding.
