The Issuer was incorporated as Spark Energy Finance plc, a company incorporated under the laws of Scotland having registration number SC495826 and its registered office address at Ettrick Riverside, Dunsdale Road, Selkirk TD7 5EB.

The Issuer is a wholly owned subsidiary of Spark Energy Limited and part of the Spark Energy group of companies (the “Group”). The Group is privately owned by over 160 shareholders and commenced operations as an energy supply business in 2007.

The Bonds will represent unsecured obligations of the Issuer, guaranteed by Spark Energy Limited, the principal operating entity within the Group. The proceeds of the Bond issue will be used by the Group for its general corporate purposes.
