Jazz Investments I Limited., US$1,000,000,000 2.000% Exchangeable Senior Notes due June 15, 2026;  are issued pursuant to Rule 144A under the United States Securities Act 1933 as amended (the “Securities Act”). The Notes will be fully and unconditionally guaranteed, on a senior unsecured basis, by the Parent.
