AFFINITY INTERNATIONAL LIMITED CAUTIONARY ANNOUCMENT

Hamilton, Bermuda – 23 February 2021 – In a filing with the Bermuda Stock Exchange (“BSX”), Affinity International Limited, (Affinity, the “Company”); Ticker: AIL.BH) has filed a cautionary announcement.  The filing stated:

 

Shareholders are advised that the Consolidated Financial Statements of Affinity International Limited (“the Company”) for the year ending 29 February 2020 (“the 2020 Consolidated Financial Statements”), which were submitted to the Bermuda Stock Exchange on 30 November 2020, did not include the operating results of the Company’s South African subsidiaries so as to ensure compliance with the South African Exchange Control Regulations, Orders and Rules 1961, published in Government Notices R1111 and R1112 on 1 December 1961, as amended, from time to time.

 

The Company has recalled the 2020 Consolidated Financial Statements in light of Exchange Control Circular 1/2021 issued by the South African Reserve Bank on 4 January 2021, which lifts certain restrictions with effect from 1 January 2021. The amended 2020Consolidated Financial Statements now include the operating results of the Company’s South African subsidiaries in accordance with the requirements of IFRS 10 Consolidated Financial Statements.

 

Shareholders are accordingly advised to consider the amended 2020 Consolidated Financial Statements prior to considering acquiring and/or dealing in securities of the Company.

 

The shareholders, in our view, suffer no prejudice as a result.
