Resilience Re Ltd. (the “Company”) Advised of Change of Ownership on 1^st December 2021.

 

Hamilton, Bermuda: 3^rd December 2021:-In a filing with the Bermuda Stock Exchange Resilience Re Ltd. (the “Company”) announced the following:-

 

 

 

Willis Towers Watson plc (“WTW”), whose shares are listed on NASDAQ, and Arthur J. Gallagher and Co. (“AJG”), whose shares are listed on the New York Stock Exchange, entered into a security and asset purchase agreement, pursuant to which WTW and AJG agreed, among other things, to transfer all of the shares in the Company from Willis International to the AJG group (the “Transaction”).

 

 

 

With effect from 1 December 2021, being the Principal Closing Date (as defined in the Agreement) Gallagher International Holdings (U.S) Inc. became the direct shareholder controller of the Company (with AJG becoming the indirect 50% shareholder controller thereof) (the “Change of Ownership”).
