NOTICE IS HEREBY GIVEN to the holders of Class A common shares of the Company of par value US$0.001 each (“Class A Shares”) and the holders of Class B common shares of the Company of par value US$1.00 each (“Class B Shares”) that pursuant to bye-law 33 (Written resolutions) of the bye-laws of the Company, the 2022 annual general meeting of the holders of Class B Shares will be held by written consent in lieu of a meeting in order to adopt the following resolutions:

 

1.            Financial Statements and the Auditor’s Report

 

To receive and consider the financial statements of the Company for the financial year ended 31 December 2021 together with the Auditor’s report thereon, which was prepared in accordance with International Financial Reporting Standards.

 

2.            Auditors

 

To consider the appointment of KPMG Auditores Independentes as Auditor of the Company, in place of Deloitte Touche Tohmatsu Auditores Independentes, to hold office until the conclusion of the next annual general meeting at a fee to be agreed by the Board of Directors.

 

3.            Confirmation of Acts

 

To consider all and any actions taken by the Directors and Officers of the Company relating to the business of the Company up to the date thereof.
