Concilium Limited is an investment holding company incorporated in Bermuda on 18 January 2017, under Registration Number 52236, having its registered office located at Dorchester House, 7 Church Street, Hamilton HM 11, Bermuda . The Company owns 100% of the issued share capital of various subsidiaries. The shareholders of the Subsidiaries have sold all their shares including their intellectual property to the Company in terms of the Share Exchange Agreements.

The Issuer has an authorized share capital of US$50,000, consisting of 1,000 shares of $.001 par value Class A Voting Shares (the Class A Voting Shares) and 49,999,000 shares of $.001 par value Class B Non-voting Shares (the Class B Non-voting Shares). The number of Shares in issue as at the date of this Document is 10,000,000 Class B shares of $.001 par value. Only the 10,000,000 issued Class B Non-voting, fully paid shares will be seeking a listing on The Bermuda Stock Exchange.
