The Company was incorporated in Bermuda on 23 March 2020 as an exempted mutual fund company of unlimited duration with limited liability under the Companies Act 1981. The Company will be registered as a segregated accounts company pursuant to the Segregated Accounts Companies Act 2000. The Company will be registered as a professional fund with the Bermuda Monetary Authority under the Investment Funds Act 2006.

There are two classes of shares, which are Management Shares and Participating Shares. The authorised share capital is US$10,001.
