The Issuer is a special purpose reinsurance vehicle incorporated in Singapore on 25 February 2021, as defined in the SPRV Regulation and is licensed under the Act effective 16 March 2021, each as may be amended from time to time. Its issued shares are held pursuant to the terms of the shares declaration of trust dated 25 February 2021 and executed by Intertrust (Singapore) Ltd. as share trustee (the “Share Trustee”). The sole business purpose of the Issuer is to Issue the Notes and to enter into and perform its obligations under the Reinsurance Agreement and the Indenture related to the Notes.
