120,000,000 Series 2012-1 Class B Principal At-Risk Variable Rate Notes due April 10, 2015

The Notes  will be exposed to the perils of earthquakes in Canada & USA, windstorms in Europe & hurricanes in Mexico, the Caribbean & USA on an aggregate basis over the risk period. The Notes will be issued in United States currency, and in minimum denominations of $250,000 and integral multiples of $1,000 in excess thereof.
