Golden State Re II Ltd. is a Bermuda exempted company incorporated on 22 August 2014 with registration number 49407.
The US$250,000,000 Class A Principal-at-Risk Variable Rate Notes due 8 January 2019, being the total face value of the Class A Notes, are exposed to the peril of Earthquakes over the Risk Period in the designated area, (the “Notes”).The Notes are issued in minimum denominations of $250,000 and integral multiples of $1,000 in excess thereof.
These Notes are to be issued on or around 16 September 2014 under the listed Golden State Re II Ltd. Principal At-Risk Variable Rate Note Program whereby the Issuer may from time to time issue Notes in order to obtain funds to collateralize its obligations under the respective Reinsurance Agreements pursuant to which it will provide the Ceding Insurer.
