NB Reinsurance Ltd. is a Bermuda exempted company which was incorporated on 10 March 2009 with limited liability as Iris Reinsurance Ltd. (Issuer), registered as (i) a Class 3 insurer under the Insurance Act 1978, as amended (Insurance Act), and (ii) a segregated accounts company registered under the Segregated Accounts Companies Act 2000, as amended (SAC Act).  Following the acquisition of the Issuer’s common shares by Neuberger Berman Group LLC on 31 October 2018, the Issuer changed its name from Iris Reinsurance Ltd. to NB Reinsurance Ltd. with an effective date of 1 November 2018.
